[08:36] – David Lizerbram’s July Legal Tip: Business Partnership Basics
- Types of business partnerships
- General Partnerships
- The partners all participate in the running of the business and assume liability for the company’s debts and obligations. So if the company is sued, all partners may be legally liable.
- Limited Partnerships
- One or more of the partners are actively involved in the business and have liability for the company’s debts.
- The other partners are sometimes called “Silent Partners.” They have an investment in the business, but in exchange for limited liability, they have less say over the day-to-day running of a business.

- Having a written partnership agreement
- It’s always best to have a written Partnership Agreement, and it’s recommended that you work with a business lawyer who can help draw up the document.
